1. DESCRIPTION OF SERVICE AND CORE DISCLAIMER

Welcome to Unispov (the "Platform"). Please read these Terms of Service ("Terms", "Agreement") carefully before creating an account or using our website, software platform, and booking services.

The Platform Marketplace: The Platform is an online marketplace connecting school students and their parents with two distinct categories of service providers:

  • Tutors: Independent, qualified educators who provide academic tutoring in school subjects such as mathematics, physics, chemistry, and English.
  • Mentors: Verified university students or graduates who provide informational peer-to-peer advisory sessions, mentorship, and casual insights into university life, majors, and student experiences.

No Professional or Official Admissions Advice: The Platform does not provide official academic admissions consulting, legal advice, or official institutional placement services. The information, opinions, and advice shared by Mentors during any scheduled session are solely their own personal views.

No Affiliation with Educational Institutions: We are not affiliated with, endorsed by, or partnered with any university, high school, ministry of education, or admissions board mentioned on our Platform.

Assumption of Risk: We do not guarantee admission to any university, any specific academic grade, or any career outcome. Any decisions made by Customers based on information or advice obtained through the Platform are made at their own sole risk.

2. ELIGIBILITY AND MINORS

  • Age Requirement: To create an account independently, you must be at least 18 years of age.
  • Parental Consent for Minors: High school students under the age of 18 ("Minors") may utilize the Platform, browse the catalog, and participate in scheduled sessions only under the supervision and explicit consent of a parent or legal guardian.
  • Guardian Liability: When a parent or guardian allows a minor to use the Platform under their account, the parent or guardian accepts full financial and legal responsibility for the minor's conduct, bookings, and compliance with these Terms.

3. REGULATORY REQUIREMENTS FOR TUTORS (UAE LAW COMPLIANCE)

To ensure full compliance with the Federal Laws of the United Arab Emirates, all Tutors offering academic tutoring services through the Platform must strictly adhere to the following:

  • Mandatory Licensing: All UAE-based Tutors must hold a valid Private Tutor License / Work Permit issued by the Ministry of Human Resources and Emiratisation (MOHRE) or an equivalent authorized legal freelance permit allowing them to conduct tutoring activities in the UAE.
  • Independent Verification: While the Platform takes reasonable steps to verify that Tutors upload valid credentials upon onboarding, the Tutor remains solely and legally responsible for maintaining the validity of their permit.
  • Independent Contractors: Tutors are independent service providers and are not employees, agents, or partners of the Platform. Tutors are responsible for their own tax compliance, licensing fees, and reporting requirements under UAE law.
  • Scope of Tutoring Services: Tutors are permitted to provide tutoring services related to school subjects such as physics, chemistry, mathematics, and English language, strictly within the country.

4. REGULATORY REQUIREMENTS FOR MENTORS (UAE LAW COMPLIANCE)

To ensure full compliance with the Federal Laws of the United Arab Emirates, all Mentors offering "advice" and mentorship services through the Platform must strictly adhere to the following requirements:

  • Mandatory ID Validity: Mentors must hold a valid Emirates ID.
  • University Enrollment: Mentors must be currently enrolled in a university within the UAE and hold a valid university student ID.
  • Minimum GPA: Mentors must have a minimum GPA of 3.00 (or equivalent).
  • Degree Completion: Mentors must have completed at least 50% of their degree program.
  • Code of Conduct: All Mentors must sign a Code of Conduct regarding their interactions on the platform, which includes promises not to share extremist ideas, use violence, or violate child safety policies.
  • Mentor Onboarding Guide: All Mentors must read, agree to, and comply with the rules outlined in the Mentor Onboarding Guide.
  • International and Local Calls: Mentors may expect to receive international or local calls from students considering the university they attend.
  • Trial Calls: New Mentors are required to complete a trial call period (5 calls) to ensure quality and compliance before being fully approved.
  • Independent Contractors: Mentors are independent service providers and are not employees of the Platform. Mentors are responsible for their own tax compliance and reporting requirements under UAE law.
  • Messages not allowed: Mentors are strictly prohibited from sending messages to customers outside of the platform.
  • Messages shared: Mentors should direct mentee to double check university offical sources in case a question is unclear or ambiguous.
  • Outside scope of experience: Mentors should not answer questions related to another university outside their scope of expeirence.
  • Personal information: Mentors should not share personal information or contacts. eg whatsapp number , phone number , email address, social media handles
  • Profetionalisim policy and child safe policy: Mentors violating Child Safe Policy or Professionalisim policy face immediate termination of their account.
  • Records: Mentors must record any calls and upload them to the platform dedicated link for admin reviewal and approval

5. BOOKINGS, PAYMENTS, AND ESCROW SYSTEM

  • Account Wallets and Platform Mechanics: The Platform operates a centralized marketplace ledger and secure escrow-style wallet system using third-party payment infrastructure (Ziina Wallet).
  • Payment Authorization: When a Customer books an available slot, the designated hourly session fee is charged and held securely by our system.
  • Revenue Share: The platform retains a commission of 35% of the total session earnings as a service and operational fee. The service provider (Tutor or Mentor) receives 65% of the total session earnings.
  • Pricing: The initial call price on launch is set at 30 dirhams per session.

6. CANCELLATION, REFUND, AND NO-SHOW POLICY

Customer Cancellations:

  • Booking Cutoff: Customers may view and book available time slots up to 5 hours before the start of a scheduled block. Once this window closes, the time block is no longer available for new bookings.
  • No Customer Cancellations: Booked sessions cannot be cancelled or rescheduled by customers.
  • Customer No-Show: If a Customer fails to attend a scheduled session, the session will be considered completed. No refund, credit, or replacement session will be provided.

Service Provider Cancellations & No-Shows:

  • If a service provider (Tutor/Mentor) cancels a session at any time or fails to log into the designated meeting link within 15 minutes of the start time, the Customer will be eligible for a 100% full refund, platform credit, or a replacement session at the platform's discretion.
  • Service providers will not be compensated for missed sessions. Repeated absences may result in suspension or termination from the platform.

Dispute Resolution:

  • If a dispute arises regarding whether a session took place or experienced catastrophic technical failure, either party must flag the transaction within 48 hours of the scheduled end time. The Platform administrators hold absolute, final authority to review system logs and determine the appropriate distribution of escrowed funds.
  • All refund, credit, and dispute decisions are made by the platform and are final.

7. MANDATORY RECORDING AND QUALITY CONTROL

  • Consent to Recording: To maintain a safe environment for minors, ensure academic integrity, prevent cheating/assignment fraud, and resolve payment disputes objectively, all video and audio calls conducted via the platform's video conferencing integration are automatically recorded and logged.
  • Usage Restrictions: By booking or conducting a session, both Customers and Service Providers explicitly consent to this recording. These recordings are handled in strict accordance with our Privacy Policy, are stored securely, and are accessible only to authorized platform administrators.
  • Prohibition of Third-Party Recording: Users are strictly prohibited from recording, filming, or taking screenshots of sessions using external software, mobile phone cameras, or third-party recording tools. Publishing any portion of a session on social media or anywhere publicly without explicit written consent from the other party and the Platform is a severe violation of these Terms and UAE privacy laws.
  • Recording Upload: Recordings must include the full session (video + audio) and must be uploaded immediately after the session. Failure to record or upload a session will be treated as a policy violation.
  • Calls Saftey: All calls must be done through audio only. Opening video facecam cameras is strictly prohibited for safety reasons. Mentors are may to turn on their screen share in case needed through the video calling platform.

8. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree that you will not use the Platform to:

  • Circumvent the Platform (Disintermediation): You must not exchange personal phone numbers, emails, social media handles, or banking details to handle bookings, sessions, or payments outside of the Platform. Attempting to bypass our booking and payment infrastructure will result in an immediate and permanent ban of both the Customer's and service provider's accounts.
  • Academic Dishonesty: Service providers are strictly forbidden from writing essays, completing assignments, taking tests, or executing coursework on behalf of a student. The service is strictly for informational advice and peer mentorship.
  • Harassment and Abuse: You will not engage in cyber-bullying, harassment, hate speech, inappropriate language, or the sharing of explicit material.
  • Fraudulent Documentation: Service providers must not upload forged university transcripts, fabricated degrees, or fraudulent MOHRE work permits.
  • Professionalism: All communications must remain factual, experience-based, neutral in tone, and respectful toward institutions and individuals. Making defamatory, misleading, or disparaging remarks about any university, faculty, or organization is strictly prohibited.

9. LIMITATION OF LIABILITY AND INDEMNIFICATION

  • As-Is Provision: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no guarantees that the software will be completely error-free, uninterrupted, or free from server outages.
  • Exclusion of Liability: To the maximum extent permitted by applicable United Arab Emirates law, the Company, its directors, employees, or tech vendors shall not be held liable for any direct, indirect, incidental, special, or consequential damages resulting from:
    • The advice, guidance, statements, or conduct of any service provider or Customer during a session.
    • Any academic rejection, financial loss, or personal distress resulting from a user's reliance on peer advisory sessions.
    • Technical failures of third-party dependencies necessary for platform operation.
  • Indemnification: You agree to defend, indemnify, and hold harmless the Company and its operators from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney fees) arising from your violation of these Terms, your misuse of the Platform, or your infringement of UAE laws.

10. TERMINATION OF ACCOUNTS

We retain the absolute right, in our sole discretion and without prior notice or legal liability, to temporarily suspend or permanently terminate your account and block your access to the Platform for any reason, including but not limited to:

  • A breach or violation of any clause within these Terms.
  • Engaging in payment chargeback fraud or circumvention attempts.
  • For Tutors: Invalidation or cancellation of their mandatory MOHRE Work Permit.
  • For Mentors: Failure to meet the required GPA or university enrollment status.
  • Conducting yourself in a manner that compromises the safety or dignity of minors on our platform.
  • Violation of any safeguarding, professionalism, or privacy policy.
  • Sharing personal contact information to move communications off-platform.

11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by, construed, and enforced in accordance with the Federal Laws of the United Arab Emirates. Any legal dispute, controversy, or claim arising out of or relating to these Terms, including their validity or termination, which cannot be settled amicably, shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates (Dubai judicial framework).
